SIRE SYSTEMS

1. Agreement and eligibility

These Terms govern your use of siresystems.ai and any inquiry, proposal, digital product, or service provided by Sire Systems (“Sire,” “we,” “us,” or “our”). By using the Site or submitting a request, you agree to these Terms and our Privacy Policy. You must be at least 18 and authorized to act for any business you represent.

2. Site information and Sire Core

Site content and Sire Core output are provided for general business-planning purposes. AI output may be incomplete, inaccurate, or unsuitable for your circumstances and requires human review. Nothing on the Site is legal, tax, accounting, investment, lending, or financial advice. Sire is not a lender, does not promise financing approval, and does not guarantee business results or return on investment.

3. Engagements and order of control

Submitting an inquiry does not obligate either party to proceed. Services begin only after both parties approve a written proposal, statement of work, order form, or other engagement agreement (“SOW”). If an SOW conflicts with these Terms, the SOW controls for that engagement. Scope changes, assumptions, milestones, client dependencies, pricing, and acceptance criteria must be documented in the SOW or a written change order.

4. Fees, taxes, and payment

Fees and payment milestones are stated in the applicable SOW or checkout. Unless stated otherwise, invoices are due when presented and work may pause while an amount is overdue. You are responsible for applicable taxes other than taxes on Sire’s net income. Payments may be processed by a third-party provider under that provider’s terms. Sire does not store complete payment-card or bank credentials.

5. Cancellations and refunds

  • Before work begins: amounts paid are refundable on written cancellation, less nonrecoverable third-party costs and any expressly stated reservation fee.
  • After work begins: you remain responsible for completed work, time reasonably committed, approved milestones, and noncancelable third-party costs through the effective cancellation date.
  • Deposits: a deposit is nonrefundable only when the SOW or checkout clearly says so and explains what capacity, procurement, or initial work it secures.
  • Completed digital work: fees for accepted milestones, delivered custom work, consumed services, licenses, domains, advertising spend, printing, postage, data, and other third-party purchases are nonrefundable except where law or the SOW requires otherwise.
  • Provider fees: payment-processor and currency-conversion charges may be withheld where they are not returned to Sire.

Submit a cancellation or refund request to Paul@siresystems.ai with the project and invoice reference. We will review it against the applicable SOW and law. Contact us before initiating a chargeback so we can investigate and attempt to resolve the issue.

6. Client responsibilities

You will provide accurate information, timely decisions, lawful content, required access, and a responsible decision-maker. You represent that you have the rights and permissions necessary for all data, brands, lists, content, and systems you provide. Delays or extra work caused by missing information, changed instructions, third parties, or unauthorized materials may change schedule and fees through a written change order.

7. Intellectual property

Each party retains ownership of materials, technology, trademarks, data, and know-how it owned or developed independently before the engagement. After full payment, you receive the ownership or license to custom deliverables stated in the SOW. Sire retains its pre-existing frameworks, reusable code, methods, models, templates, tools, and generalized know-how, together with improvements that do not disclose your confidential information. Third-party software, fonts, data, platforms, and media remain subject to their own licenses.

8. Confidentiality and data

Each party will use reasonable care to protect nonpublic information disclosed for an engagement and will use it only to perform or receive the services, except where disclosure is authorized or legally required. Personal data is handled as described in the Privacy Policy and any applicable data-processing terms.

9. Acceptable use

You may not use the Site, Sire Core, or deliverables to violate law or third-party rights; deceive or impersonate others; distribute malware or spam; harvest data; bypass access controls; interfere with systems; generate unlawful discriminatory decisions; or create high-impact financial, employment, housing, healthcare, or legal decisions without appropriate qualified human oversight.

10. Third-party services

Projects may depend on hosting, AI, advertising, CRM, communications, payment, data, direct-mail, lending-referral, or other third-party services. Their availability, pricing, policies, and performance are outside Sire’s control. You authorize the third-party costs and accounts identified in the SOW. Sire is not responsible for a third party’s outage, suspension, policy change, decision, or security event, but we will provide reasonable coordination within the agreed scope.

11. Warranties and disclaimers

Sire will perform contracted professional services with reasonable care consistent with the applicable SOW. Except for an express warranty in an SOW and to the maximum extent permitted by law, the Site, AI output, and services are provided “as is” and “as available,” and Sire disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant uninterrupted operation, error-free output, a particular ranking, financing outcome, revenue level, conversion rate, or ROI.

12. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, opportunities, or data, arising from the Site or services. Sire’s aggregate liability for a claim will not exceed the fees paid to Sire for the specific service giving rise to the claim during the three months before the event. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

13. Indemnity

You will defend and indemnify Sire from third-party claims arising from materials or instructions you supply, your unlawful use of deliverables, or your violation of these Terms or third-party rights. Sire will promptly notify you and allow reasonable control of the defense, subject to Sire’s right to participate with its own counsel.

14. Suspension and termination

We may suspend access or work for nonpayment, security risk, unlawful use, abuse, or material breach. Either party may terminate an engagement as provided in the SOW. Sections concerning payment, intellectual property, confidentiality, disclaimers, liability, indemnity, disputes, and accrued rights survive termination.

15. Governing law and disputes

Texas law governs these Terms without regard to conflict-of-law rules. Before filing a claim, the parties will give written notice and attempt in good faith to resolve the dispute for 30 days. If unresolved, the parties consent to the jurisdiction of state or federal courts of competent jurisdiction in Texas, unless an SOW lawfully provides otherwise. Nothing here prevents either party from seeking urgent injunctive relief.

16. General

These Terms and the applicable SOW are the entire agreement for their subject matter. Waivers must be in writing. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder remains effective. You may not assign an engagement without Sire’s written consent, except as part of a lawful sale of substantially all related assets. Electronic records, signatures, notices, and acceptances may be used to the extent permitted by law.

17. Contact

Questions, legal notices, cancellation requests, and refund requests may be sent to Paul@siresystems.ai or 832-340-1540. The applicable invoice or SOW will provide any additional business and mailing information required for the engagement.
